REVERA Belarus Summarises the Outcomes of a Business Meeting in Grodno on Key Business Issues
On 16 July, the business meeting “Legal and Financial Tools for Business Development” was held in Grodno. The event focused on recent legislative developments, instruments for raising finance, export risk insurance and brand protection.
The meeting brought together experts from REVERA, the Eurasian Development Bank and Beleximgarant, as well as representatives of the business and financial sectors.
The programme comprised five thematic sessions.
- Aliaksandr Antonau, Associate Partner at REVERA, presented an overview of the key legal and tax developments of 2025–2026.
The participants discussed the taxation of high incomes and dividends, the importance of confirming foreign tax residency, changes to registration procedures, the consequences of paying undeclared wages and the new rules governing loans.
- A separate session focused on the instruments offered by the Eurasian Development Bank for the implementation of investment projects.
Using practical examples, the experts presented various options for combining investment lending, bank guarantees, grants, risk-sharing arrangements and financing from national banks. Roman Efimov Head of the Country Office of the Eurasian Development Bank in Belarus demonstrated that project financing may be provided as early as the investment stage, while the assets created under the project may be used as collateral once the facility has been commissioned.
- Iryna Andryieuskaya, Lead Lawyer at REVERA, explained the procedure for distributing profits and paying dividends.
Her presentation covered restrictions relating to the value of net assets, insolvency risks, payment of the charter fund and profit distributions to foreign owners. The participants also discussed proposed amendments that would link profit distributions to reporting periods and establish specific time limits for adopting resolutions on, and paying, dividends.
- Vadim Kogut, Director of the Beleximgarant-Grodno branch, presented the available export insurance support mechanisms.
The instruments considered included insurance of export credits and contracts, export factoring, exporters’ liability insurance, and protection for Belarusian importers against the risks of non-delivery of goods and failure to refund advance payments.
- Pavel Klementsov, Head of Brand Protection at REVERA and a patent attorney, spoke about the registration and protection of trade marks.
He emphasised the importance of conducting a preliminary clearance search, correctly identifying the owner, defining the list of goods and services, and selecting the relevant territory of registration. The presentation also addressed the risks associated with copying third-party brands and conflicts between trade marks, domain names and corporate names.
Which topics generated the most interest?
The largest number of practical questions from participants concerned the taxation of dividends, new restrictions applicable to loan agreements, the conditions for obtaining financing and brand protection. Representatives of the financial sector were also interested in risk-sharing mechanisms, export factoring and credit risk insurance.
The meeting demonstrated that effective business development requires an integrated approach to legal and financial instruments, ranging from selecting an appropriate financing structure and assessing the tax burden to protecting assets, export contracts and intellectual property.
