Corporate Law and Investment
- Assisted a client on a turnkey basis — from incorporating a legal entity to preparing it for launch — by establishing the company and operational infrastructure required for a major international conference.
- An investor risked having no effective influence until its interest was formally registered. We structured the transaction so that the investor obtained control and protection of its interests even before the investment was converted into an equity interest.
- An equity participation agreement for the construction of a mixed-use centre brought together land law, construction law and investor protection mechanisms within a single transaction.
- An option to enter into an agreement in the real economy enabled the client to lock in the terms of the transaction in advance without assuming an immediate obligation to proceed.
- The client needed an objective assessment rather than representations from the counterparty. We conducted due diligence to assess the sufficiency of the security, enabling the client to make its decision on the basis of verified facts.
Debt Recovery and Debtor-Related Matters
- The client’s account had been blocked. We secured its release through applications to the relevant public authorities, without a single court hearing.
- Before commencing costly enforcement proceedings, we investigated the debtor’s assets, providing the client with a realistic assessment of the prospects of recovery.
- The debtor company had formally been liquidated, but this did not prevent recovery: we helped recover the debt from the beneficial owner on the basis of subsidiary liability.
- We combined the recovery of receivables with the freezing of the defendant’s bank accounts. The interim measures eliminated the risk of assets being dissipated before the proceedings were concluded.
Regulatory Compliance
- New trade restrictions threatened to bring the client’s supplies to a halt. Instead of suspending its business operations, the client received a clear action plan for navigating the changing regulatory environment.
Intellectual Property and Brand Protection
- Domain names, typosquatting and UDRP disputes: we closed down several channels through which the client’s brand was being misused.
- A competitor challenged the client’s trade mark. We resolved the matter through pre-action correspondence without taking it to court, saving the client time and costs.
