A memo. Special Measures in Corporate Relations in the Republic of Belarus

REVERA Law Group has prepared an updated guidance note, revising the previously developed checklist on corporate restrictions applicable to foreign owners from unfriendly states.

The guidance note addresses special measures in the area of corporate relations currently in force in the Republic of Belarus.

In a changing regulatory environment, these issues are of practical importance for Belarusian companies, foreign business participants, investors and asset owners, as they affect corporate transactions, dividend distributions, company management and the disposal of property.

The guidance note reviews the key regulatory acts governing special corporate measures (Edict No. 93, Resolution No. 209, Law No. 293-Z, etc.), as well as:

  • the procedure for obtaining permits to carry out certain corporate actions;
  • the rules for paying dividends to foreign participants;
  • the use of special accounts;
  • issues relating to temporary external management;
  • specific features of corporate taxation;
  • the grounds and procedure for the seizure of property, including shares in Belarusian legal entities

The lawyers of REVERA Belarus have prepared the guidance note with a detailed analysis of each measure: to whom it applies, what steps must be taken and within what timeframes, what the procedure is for obtaining permits and paying contributions, as well as the consequences of failing to obtain a permit.
