Purchase of the factory within three days

REVERA has comprehensively supported a foreign investor in the purchase of a building materials factory in Belarus. 

A foreign investor turned to REVERA on Wednesday with an urgent request to guide the purchase of the plant at an auction on Monday.

Our project team promptly worked out an investment model, taking into account the need to preserve the type of land rights, ensured company registration, opening a bank account and obtaining a loan for the auction.

We prepared an asset purchase risk report for the client, including a description of the risks related to the autonomy of the acquired company. REVERA experts also checked the condition of the assets (movable and immovable property) on site. 

Our tasks, in addition to supporting the deal, included its registration with the National Cadastral Agency, following up the receipt of the enterprise as a property complex, and performing the functions of the executive body as the management company.

Then REVERA lawyers moved on to ensuring the functioning of the company: processed the purchase of additional assets and relations with counterparties for ongoing work, took care of additional security for the period of handover, helped to choose and formalise contractual relations with outsourced services (accounting, human resources and military record-keeping, labour protection, potentially hazardous facilities and others), drafted necessary corporate documents, including privacy policy and others.

For the client's convenience, we developed a guide on the peculiarities of doing business in Belarus. 

As a result, in three days, the client has the rights to a functioning company that is ready to carry out manufacturing activities.

Contract price was circa 6 mln euros. The supplier delivered most of the equipment but failed to carry out commissioning works thus inflicting damages and forcing the client to look for another contractor to finish the project.
